Terms of Service

1. Service Description

Notemesh, operated by ResponseIQ ("we", "our", "us"), is an AI-powered meeting assistant that provides meeting recording, transcription, AI analysis, and knowledge base features for Zoom meetings. By creating an account or using Notemesh, you agree to these Terms of Service.

2. Account Registration & Responsibilities

To use Notemesh, you must create an account using Google OAuth, email/password, or Zoom OAuth. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and current registration information
  • Notifying us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account.

3. Service Plans

Notemesh is available under the following plans:

  • Free: Up to 10 meetings per month, 3 knowledge bases, 3 custom prompts. Includes core features: recording, transcription, AI summaries, action items, and follow-up emails.
  • Pro ($19/month): Unlimited meetings, knowledge bases, and custom prompts. Full analytics dashboard, smart reminders, and auto-tagging.
  • Team ($12/user/month): Everything in Pro, plus team workspaces with shared knowledge bases, member management, departments, and team analytics. Up to 25 members per team.

Plan features and pricing may change. We will notify you at least 30 days before any changes that affect your current plan.

4. Acceptable Use

You agree to use Notemesh only for lawful purposes. You must not:

  • Record meetings without the knowledge and consent of all participants, where required by applicable law
  • Use the service to harass, defame, or infringe on the rights of others
  • Attempt to gain unauthorized access to other users’ data or accounts
  • Reverse-engineer, decompile, or disassemble any part of the service
  • Use the service to transmit malware, viruses, or other harmful content
  • Resell, sublicense, or redistribute the service without our written permission
  • Use automated means to access the service beyond the intended API interfaces
  • Circumvent any access controls, rate limits, or usage restrictions

5. Meeting Recording Consent

You are solely responsible for obtaining consent from all meeting participants before recording. When the Notemesh bot joins a Zoom meeting, it appears as a visible participant with a configurable display name (e.g., "Notemesh Notetaker"), which serves as notice to attendees.

Many jurisdictions require all-party consent for recording conversations. It is your responsibility to understand and comply with the recording consent laws applicable to your meetings, including but not limited to federal and state wiretapping laws.

6. Intellectual Property & Data Ownership

Your Content

You retain full ownership of all content you create or upload through Notemesh, including meeting recordings, transcripts, and any data derived from your meetings. We do not claim ownership of your content.

You grant Notemesh a limited, non-exclusive license to process your content as necessary to provide the service, including transcription, AI analysis, storage, and delivery.

Our Service

Notemesh, its logo, design, code, and documentation are the intellectual property of ResponseIQ. These Terms do not grant you any right to use our trademarks, branding, or proprietary technology outside of normal service usage.

7. AI-Generated Content Disclaimer

Notemesh uses artificial intelligence (powered by OpenAI) to generate meeting summaries, action items, to-do lists, key decisions, follow-up email drafts, and sentiment analysis. Important:

  • AI-generated content may contain errors, omissions, or inaccuracies
  • AI outputs are based on transcript content and may misinterpret context, sarcasm, or nuance
  • You should review all AI-generated outputs before relying on them for business decisions, contractual obligations, or communications
  • We do not guarantee the accuracy, completeness, or suitability of any AI-generated content
  • Speaker identification is automated and may occasionally attribute statements to the wrong speaker

Notemesh is a productivity tool, not a legal or compliance record-keeping system.

8. Third-Party Integrations

Notemesh integrates with third-party services including Zoom, Google Workspace, Deepgram, OpenAI, and AWS. Your use of these integrations is subject to each service’s own terms and privacy policies. We are not responsible for the availability, accuracy, or security practices of third-party services.

You may disconnect any third-party integration at any time from Settings. Disconnecting an integration stops future data access but does not retroactively delete data already processed.

9. Service Availability

We strive to provide reliable, continuous service but do not guarantee 100% uptime. We may experience downtime due to:

  • Planned maintenance (we will provide advance notice when possible)
  • Unplanned outages or third-party service disruptions
  • Force majeure events beyond our reasonable control

We are not liable for any losses resulting from service unavailability.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTEMESH AND RESPONSEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any and all claims arising from these Terms or your use of the service shall not exceed the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or fifty dollars ($50), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless ResponseIQ, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Termination

You may delete your account at any time through the Settings page in the app. Upon deletion:

  • Your personal data, meeting recordings, transcripts, and AI outputs will be removed within 30 days
  • Your Google Drive copies (if any) remain in your Drive and are managed by you
  • Your Zoom and Google OAuth tokens are immediately revoked and deleted

We may suspend or terminate your account if you violate these Terms, with or without notice. In cases of suspected fraud or illegal activity, we may suspend access immediately.

13. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through an in-app announcement at least 30 days before the changes take effect. Your continued use of Notemesh after changes take effect constitutes acceptance of the updated terms.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the state or federal courts located in the State of Michigan, and you consent to the personal jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
